It is an industrial or commercial activity, a production unit. Non-profit making : A but non lucrative Legal entity : Entité juridique Society : It is generally a non-profit association, an association for common aim. It does not pay any corporate taxes Corporate tax : Impôt sur les sociétés Joint venture : A joint venture is set up (is formed) when two firms decide to set up a subsidiary together, often in a different country, in order to break into/ to tap a foreign market. Multinational : A very large firm with a head office in one country and several branches operating in other countries. The incorporation of a company : When a company is incorporated two documents must be drawn up : - the memorandum of association - the articles of association More and more entrepreneurs (businessmen) are now setting up their own business. The self-employed are sole owners of their business and bear all the risks and costs but also get all the profits. 29 Entrepreneur : Businessman = Homme d’affaires Sole owner : propriétaire unique / seul propriétaire Conciliation Board / Arbitration tribunal / Labo(u)r Court : This is a board whose aim is to settle disputes between employers and employees. This is carried out through arbitration of Court. Its members are elected by employers and employees. To settle a dispute : Régler un différend Carry out : mener à bien Distribution : This means bringing the products (items) from the producer to the consumer/customer via two different types of traders : the wholesaler who sells goods (items) in bulk to the retailer, and the retailer who sells the goods to the consumer. The wholesaler is a middle person between the distributor and the retailer. The balance sheet : it gives the present picture of a company, its assets (assets owned by a firm) such as the current assets (actif circulant) and fixed assets (actif immobilise) and its liabilities (items owned by a firm such as current liabilities (dettes à court terme). In liabilities there are also bank loans (prets bancaires) and capital and reserves or bad debts (créances douteuses). 30
